This End User License Agreement ("Agreement") is a legal agreement between you ("Licensee," "you") and ShamROCK Audio ("ShamROCK Audio," "we," "us") governing your use of ShamROCK Audio software plugins and instruments, including ShamPIPES, FITZ PHONE, DeWHALER, ShamPRESSOR, any future products, the ShamROCK Audio Installer & License Manager, and any updates, presets, samples, and documentation (collectively, the "Software").
By downloading, installing, activating, or using the Software, you agree to be bound by this Agreement. If you do not agree, do not install or use the Software.
1. License Grant
Subject to your compliance with this Agreement and payment of the applicable fee, ShamROCK Audio grants you a non-exclusive, non-transferable (except as in Section 4) license to install and use the Software for your personal or commercial music and audio production work.
Each license permits activation on up to three (3) machines ("seats") that you own or control. Seats are managed through the ShamROCK Audio Installer & License Manager. You may deactivate a machine to free a seat and activate another.
2. Ownership
The Software is licensed, not sold. ShamROCK Audio and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except as expressly set out in this Agreement.
3. Permitted Use
You may:
- Use the Software to create, record, mix, master, perform, and distribute your own audio and musical works, including commercial releases, with no obligation to pay royalties to ShamROCK Audio on those works.
- Install the Software on up to three machines you own or control under a single license.
- Make one backup copy of the installer for archival purposes.
4. Restrictions
You may not:
- Resell, rent, lease, sublicense, lend, or distribute the Software, license keys, or license files to any third party, except as a one-time permanent transfer of your entire license to a single recipient who agrees to this Agreement (and after which you retain no copies and deactivate all your seats).
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, DSP algorithms, or license-verification mechanism of the Software, except to the extent this restriction is prohibited by applicable law.
- Circumvent, disable, or tamper with licensing, activation, demo limitations, or copy-protection.
- Distribute, repackage, or resell the bundled sample content or presets as a standalone sound library or sample pack, or in any product whose primary value is the sample content itself.
- Remove or alter any copyright, trademark, or proprietary notices.
5. Bundled Content (Samples & Presets)
Sample recordings and factory presets included with the Software are licensed to you for use within your audio productions. You may use the resulting musical works commercially. You may not extract, redistribute, or resell the raw samples or presets as a competing sound library or sample-based product.
6. Demo / Trial Versions
Unlicensed or trial versions of the Software may include limitations, including periodic audio muting. These limitations are a feature of the unlicensed state and may not be circumvented. Demo versions are provided "as is" for evaluation only.
7. Updates
Updates and bug fixes are provided at ShamROCK Audio's discretion and, where offered as "free lifetime updates," are included for the life of the product without additional charge. ShamROCK Audio is not obligated to provide updates, support a specific operating-system version indefinitely, or maintain backward compatibility.
8. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YOU ASSUME ALL RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAMROCK AUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SOFTWARE. SHAMROCK AUDIO'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
10. Term & Termination
This Agreement is effective until terminated. It terminates automatically if you breach any term. On termination you must cease all use and remove all copies of the Software. Sections 2, 4, 8, 9, and 11 survive termination.
11. Governing Law
This Agreement is governed by the laws of [JURISDICTION — e.g., Ireland], without regard to conflict-of-law principles. The courts of [JURISDICTION] shall have exclusive jurisdiction, to the extent permitted by mandatory consumer-protection law in your country of residence.
